Terms
By completing the application to become a Provider in the Pastoral Transitions network, you are agreeing to be bound by these Provider Terms and Conditions of Use, and agree that you are responsible for compliance with any applicable local, state, and federal laws. If you do not agree with any of these terms, you are prohibited from accepting care referrals from Pastoral Transitions and exercising the benefits thereof.
Application and Acceptance
All Providers who desire to become part of Pastoral Transitions are required to submit an application, and if requested and desired by Pastoral Transitions, to supply references, and undergo a routine background screening. Acceptance of application is at the sole discretion of Pastoral Transitions. Due to reference and background screening timeframes, please allow up to 30 days for processing of your application. You will be notified of your approval status.
Additional Documentation
Upon approval, you agree to provide Pastoral Transitions with any requested additional documentation necessary to complete Client referrals and remit invoice payment, including but not limited to tax identification information, specialties, contact information, biographical information, etc. You agree to notify Pastoral Transitions immediately should any of your application information change, including your contact and biographical information. You also agree to notify Pastoral Transitions should you or your practice enter litigation and/or license surrender.
Practices, Groups, and Organizations
Pastoral Transitions makes referrals to individuals, not entire practices, offices, agencies, nor organizations. Each individual in a practice or organization who wishes to receive referrals from Pastoral Transitions must apply individually. In accepting a referral, you agree to meet with the Client yourself and not refer Clients to other colleagues in your practice (or otherwise), nor to Providers under your supervision, including but not limited to interns, fellows, nor provisionally licensed associates.
Client Referrals
Clients are matched with the Provider at Pastoral Transitions’s sole discretion. Approval as a Pastoral Transitions Provider does not guarantee referrals nor obligate Pastoral Transitions to financial compensation. Often, it can take weeks or months for a Provider to receive the first referral. Upon official referral, Pastoral Transitions will provide you (Provider) and the Client with an official referral email with details regarding number of sessions, financial considerations, contact information, and other needed details. If you choose to see a Client outside the scope of our referral agreements, Pastoral Transitions is not obligated and will not pay invoices. All Client referrals must be pre-approved by Pastoral Transitions prior to your first session.
Invoice Payment
In accepting a referral from Pastoral Transitions, you agree to our pre-negotiated rate. Please do not invoice Client for sessions Pastoral Transitions is covering. Pastoral Transitions will remit payment to your office upon receipt of a session invoice itemizing services. Please remit invoices directly to Pastoral Transitions’s accounts payable office as indicated in the referral email communication. Providers are prohibited from charging additional fees beyond the Pastoral Transitions designated rate until the allotted quantity of sessions designated in the referral email is exhausted.
Self-referrals
Providers are encouraged to refer qualified Clients to Pastoral Transition. Pastoral Transitions will match the member with the best qualified Provider to serve the member’s need and is not obligated to refer the member back to the referring Provider. You agree to refrain from referring your Clients to Pastoral Transitions for the sole purpose of your financial gain.
Telehealth & Virtual Sessions
If your license allows, you agree to allow Pastoral Transitions to refer members to you for telehealth (online, virtual, digital, etc.) care in order to maximize the number of referrals available to you. You agree to notify Pastoral Transitions if/when your license status changes to allow or prohibit telehealth care.
Use of Pastoral Transitions Name
As a good-standing Pastoral Transitions Provider, you have the benefit to post the approved Pastoral Transitions Provider badge on your website. Additionally, you are encouraged to promote yourself as a Pastoral Transitions Provider. You are prohibited from representing yourself as an employee, contractor or general representative of Pastoral Transitions beyond association as a Network Provider.
Indemnification
You agree to indemnify, save, defend and hold harmless Pastoral Transitions from any and all damages, liabilities, costs, losses or expenses arising out of any claim, demand, or action by a third party arising out of any breach of your responsibilities or obligations, representations or warranties under this Agreement. Under such circumstances Pastoral Transitions shall promptly notify you (Provider) in writing of any claim or suit; (a) Provider has sole control of the defense and all related settlement negotiations; and (b) Pastoral Transitions provides Provider with reasonable assistance, information and authority necessary to perform Provider’s obligations under this section. Provider will reimburse the reasonable out-of-pocket expenses incurred by Pastoral Transitions in providing such assistance.
Insurance
All Pastoral Transitions Providers are required to maintain active, up-to-date, and adequate general liability insurance, professional insurance, malpractice insurance, or equivalent, and is required to add Pastoral Transitions, Inc, D.b.a. Pastoral Transitions as an additional insured.
HIPAA, Confidentiality, and Privacy Laws
You agree that you are responsible for compliance with any applicable HIPAA and privacy laws. You agree to keep Client information confidential, safe, and secure. Additionally, you recognize that you might have information as it relates to the business affairs; financial information; personal information; usernames and passwords; future plans; and other proprietary information (collectively, “Information”) which are valuable, special and unique assets of Pastoral Transitions and need to be protected from improper disclosure. In consideration for the disclosure of the Information, you agree that you will not at any time or in any manner, either directly or indirectly improperly divulge, disclose, or communicate in any manner any Information to any third party without the prior consent of Pastoral Transitions. You agree to protect the Information and treat it as strictly confidential.
Severability of Relationship
Pastoral Transitions reserves the right to remove any Provider or service provider from the network at any time for any reason.
Dispute Resolution
In the event of conflict or dispute, Network Providers agree to seek resolution through the mediation and/or arbitration through the Institute for Christian Conciliation.
